Requirements

Applicants for the Company Secretary position must meet the following requirements:

Minimum Qualification

  • A Bachelor’s Degree in Law
  • A Company Secretarial Certificate will be an added advantage

Essential Experience

  • A minimum of 5 years’ relevant experience as a Company Secretary within a public entity
  • Extensive experience in Corporate Governance, Compliance, and Legislative Framework environments
  • Knowledge of legal and regulatory requirements affecting public entities, such as corporate governance instruments and guidelines (KING Reports)

Knowledge and Skills

  • Understanding of various legislation regulating public entities, particularly the NDA
  • Knowledge of company secretarial duties and responsibilities
  • Familiarity with system/process documentation and business processes

Responsibilities

The successful candidate for the Company Secretary position will be responsible for the following:

  • Provide strategic advisory services related to secretariat services to the Board and Executive Management
  • Advise the Board on their legal rights and obligations concerning their responsibilities and laws such as the NDA Act (as amended), PFMA, and good corporate governance
  • Prepare, collate, and distribute Board and Committee charters and work plans
  • Manage logistics for Board and Committee meetings, including travel arrangements
  • Prepare meeting agendas, take minutes, and distribute them, and circulate action lists on resolutions
  • Process Board Fees and related matters
  • Maintain the Agency’s statutory registers, including minute books, Board registers, and registers of disclosures of conflict of interests
  • Prepare reports for the Board and its Committees and any other required forums
  • Ensure Board decisions and communications are formally channeled to appropriate staff and stakeholders
  • Monitor legislative, regulatory, and corporate governance developments affecting the NDA’s operations, ensuring the Board is fully briefed
  • Manage Parliamentary Portfolio Committee matters relating to/from NDA
  • Provide support and advice on all matters required by the Board
  • Advise on proper procedures for the appointment of Board members by the Minister (DSD)
  • Develop and implement an induction programme for the Board
  • Establish training requirements for new Board appointees and implement appropriate orientation and training
  • Oversee the payment of Board member fees through the production of a payment schedule for HR
  • Ensure communication of Board decisions and monitor progress on reporting to staff and management
  • Coordinate the annual performance evaluation of the CEO and the Board

Leadership

  • Participate with the EXCO team in developing a vision and strategic plan for the organisation
  • Identify, assess, and inform the EXCO team of internal and external corporate governance issues affecting the organisation

Operations Planning and Management

  • Develop and implement operational plans for the Company Secretariat, ensuring unit goals and objectives align with the organisation’s strategic direction
  • Oversee the efficient and effective daily operations of the Company Secretariat
  • Coordinate the production of the NDA’s Annual Report
  • Develop and monitor a corporate governance compliance checklist for the NDA
  • Ensure NDA compliance with all statutory and regulatory requirements
  • Compile, update, and manage a comprehensive organisational policy register
  • Develop and distribute Delegations of Authority, providing advice on their content

Financial Management and Administration

  • Prepare a comprehensive budget for the Company Secretarial Unit
  • Monitor budget expenditure and take corrective action when necessary

Staff Management and Supervision

  • Ensure adequate levels of resources as defined by NDA guidelines
  • Guide, lead, and direct staff to achieve set objectives
  • Monitor and manage staff performance in compliance with the NDA Performance Management policy and processes
  • Identify staff training and development needs and ensure they are addressed and implemented

Reporting

  • Submit monthly performance reports to the CEO’s Office
  • Coordinate the submission of all planning and reporting documents to the Board, DSD, and Parliament
