Minimum Qualifications and Experience
- Educational Requirements: LLB degree (NQF 7), with admission as an Attorney or Advocate being preferable. A postgraduate qualification and membership with the Institute of Chartered Secretaries of Southern Africa (now Chartered Governance Institute of Southern Africa) are advantageous.
- Experience: A minimum of 8 years of experience in a legal management environment within the public sector, with at least 5 years in a senior managerial or strategic role. Experience in corporate governance, risk management, legislative compliance, and an understanding of local government legislation is essential.

Key Responsibilities and Accountabilities
- Define the strategic role of Corporate Governance within the organization’s overall strategy.
- Provide consultative support to managers and the board on all governance matters.
- Prepare and manage meeting schedules, agendas, and attendance registers.
- Ensure proper formulation and distribution of board packs and information to all relevant parties before meetings.
- Maintain records of board meetings, including minutes, and ensure follow-up on board resolutions.
- Develop close working relationships with the chairperson and board members, acting as the first point of contact for all governance and secretarial matters.
- Ensure compliance with statutory deadlines and regulatory disclosures.
- Adhere to the best practices outlined in the King IV Report of Corporate Governance.
- Comply with the statutory provisions of the Companies Act, including document lodgement with the Companies and Intellectual Property Commission.
- Ensure the company’s Memorandum and Articles of Association are up to date and compliant.
- Provide legal advice to the Board and management.
- Oversee legal actions and ensure appropriate legal support is provided where necessary.
- Manage contracts and agreements, ensuring they are kept securely.
- Implement a records administration system with provisions for disaster recovery.
- Identify and manage risks related to Corporate Governance, including company records and legal exposures.
- Develop and implement risk management strategies.
- Develop and manage the Corporate Governance budget.
- Monitor and report on financial performance and expenditure within the Corporate Governance function.
- Review and update company policies and procedures to ensure legislative compliance.
- Oversee the development and implementation of good governance control systems.
