Key Requirements
- Educational Background:
- A recognized commerce and/or legal degree (LLB) or equivalent qualification at NQF Level 7.
- Registration as a Chartered Secretary (CIS) is essential.
- A Master of Business Administration (MBA) or equivalent postgraduate qualification would be an advantage.
- Experience:
- 12 to 15 years of experience in a Company Secretariat role.
- Proven expertise in corporate governance, risk management, and internal controls.
- Thorough understanding of the Companies Act, King Commission III, and best corporate governance practices.
- Legal and Compliance Knowledge:
- Strong working knowledge of company law, specifically the PFMA, CSOS Act, and other relevant legislation.
- Experience in dealing with corporate governance frameworks and risk management policies.
- Knowledge of internal audit procedures would be advantageous.
- Skillset:
- Exceptional communication skills, with the ability to liaise with diverse stakeholders.
- High-level project management skills.
- Competence in Service Management Principles (ITIL) and Contract Management.
- Proficiency in providing legal advice and corporate governance guidance.
Key Performance Areas (KPAs)
As the Company Secretary, the selected candidate will be responsible for overseeing multiple functions within CSOS, ensuring the entity complies with statutory requirements and good governance principles. Key responsibilities include:
Corporate Governance and Board Support
- Guide and support the CSOS Board, its committees, and Executive Management in all matters related to corporate governance.
- Facilitate Board strategy sessions and coordinate relevant documentation.
- Align Board responsibilities with Executive Management functions to ensure smooth decision-making processes.
- Ensure the Board complies with their legal obligations and statutory requirements.
Legal and Compliance Oversight
- Provide legal advice to the Board and the Executive Committee, ensuring CSOS meets all legislative and stakeholder obligations.
- Monitor the organization’s compliance with the Public Finance Management Act (PFMA), CSOS Act, King Commission III, and other relevant laws.
- Formulate delegations and terms of reference for committees, ensuring appropriate governance structures are in place.
Risk and Ethics Management
- Ensure CSOS adheres to its risk policies and manage corporate ethics effectively.
- Manage and implement whistleblowing policies and procedures.
- Develop and maintain a central source of information regarding business ethics and corporate governance.
Reporting and Administration
- Coordinate the operation of the formal decision-making and reporting infrastructure of CSOS.
- Maintain statutory records, ensuring accurate and timely filings with regulatory bodies.
- Monitor performance appraisals of the Board and Executive Management, ensuring compliance with corporate responsibilities.
Team Leadership
- Lead the Company Secretariat team, setting performance objectives and conducting regular performance reviews.
- Manage the human resources within the Company Secretariat team, fostering a high-performance environment.
