Job Description
The Assistant Company Secretary II will provide corporate governance and compliance support to the DBSA Board and management. The role requires an in-depth understanding of legal frameworks, ethical standards, and governance best practices.
Key responsibilities include:
- Advising the Board and Directors on corporate governance responsibilities under the Companies Act, King IV Code, and other relevant legislation.
- Ensuring smooth communication between the Board, management, and stakeholders.
- Monitoring the implementation of Board decisions and ensuring compliance.
- Overseeing committee support and administrative duties related to Board and sub-committee functions.
- Providing guidance and training to internal employees on corporate governance and compliance changes.
- Acting as the Company Secretary’s second-in-command, ensuring seamless operation of the secretariat function in their absence.
This role is highly strategic and requires a candidate with strong legal acumen, stakeholder management skills, and corporate governance expertise.
Key Responsibilities
1. Corporate Governance & Compliance
- Assist the Company Secretary in ensuring that DBSA adheres to legal and governance frameworks.
- Provide expert legal advice to the Board and Directors.
- Assist with onboarding and training for new Directors.
- Facilitate Board meetings, ensuring compliance with procedural and ethical standards.
- Ensure that all legal disclosures and corporate governance filings are up to date.
- Stay informed about changes in corporate law, regulations, and best practices.
2. Board & Committee Support
- Review and update Board and Committee Charters to align with best practices.
- Oversee the preparation, circulation, and approval of Board and Committee minutes.
- Manage the compilation and distribution of Board documents and reports.
- Maintain confidential records and ensure compliance with governance reporting requirements.
3. Stakeholder Engagement & Advisory
- Engage with Board members, management, and business units to ensure compliance with governance requirements.
- Act as a point of contact between the Board, management, and external stakeholders.
- Review submissions for accuracy and adherence to governance regulations.
- Provide training and guidance to employees on corporate governance matters.
4. Administrative & Reporting Functions
- Monitor and report on the implementation of Board decisions.
- Compile and present reports on legal, regulatory, and compliance issues.
- Ensure that DBSA remains compliant with the Companies Act, King IV, and other applicable governance laws.
Minimum Qualifications & Experience
To qualify for the Assistant Company Secretary II role, you must have:
Minimum Requirements
- A postgraduate degree in Law, Finance, Audit, Accounting, or a related field.
- 7–8 years of experience in a Corporate Secretariat function.
- Proven experience in advising Board members and senior executives.
- Strong understanding of corporate governance, legal compliance, and regulatory frameworks.
- Knowledge of the Companies Act, King IV Code, Financial Services Regulations Act (FSRA), and Public Finance Management Act (PFMA).
- Experience liaising with auditors, legal advisors, and financial institutions.
Preferred (Desirable) Requirements
- A legal qualification (LLB or similar).
- Previous experience as an Assistant Company Secretary in a state-owned entity.
- Experience in the banking or financial sector.
