Position Overview
The National Student Financial Aid Scheme (NSFAS) seeks an experienced Company Secretary to oversee governance functions for the Board, ensuring efficient management of the Board Secretariat and adherence to legislative requirements. This role reports directly to the Board chairperson for accountability and to the Chief Executive Officer (CEO) for administrative purposes.
Responsibilities
- Legal Advisory:
- Provide legal advice to Board Members on their rights, duties, and responsibilities aligned with corporate governance principles.
- Guide the Board and its Sub-Committees to ensure compliance with relevant legislation governing NSFAS operations.
- Secretariat Management:
- Supervise and manage the Secretariat function, ensuring efficient operations.
- Organize, prepare agendas, and take minutes of Board and Committee meetings, ensuring accurate documentation of resolutions and action items.
- Board Coordination:
- Monitor implementation of Board resolutions and maintain statutory books and registers.
- Coordinate correspondence, collate information, and finalize Board reports for dissemination.
- Update Board and Sub-Committee charters, policies, and terms of reference as required.
- Compliance and Risk Analysis:
- Conduct legal compliance and regulatory risk analyses, maintaining a compliance register.
- Develop and maintain the annual Board calendar in alignment with reporting timelines as per PFMA, 1999.
Desired Qualifications, Skills, and Experience:
Minimum Requirements:
- LLB or B. Com-Law with a Postgraduate Qualification in Business or Corporate Governance.
- Admission as an Attorney.
- 5 years’ experience in Company Secretariat functions, legal, governance, or commercial advisory.
- Knowledge of the public sector and relevant legislative frameworks.
- Proficiency in MS Office at an advanced level.
Preferred:
- Member of the Chartered Institute of Secretaries (CIS).
- Knowledge of the higher education sector.
